That is correct Faisal, only a layered PSD is required. 

I am not going to accept or decline the invite at the moment because in the time i am not sure i can get a layout psd though i will see. With my daughter not in school just yet i cant promise anything that isnt a quick design. but i will see what i can do. since it is only a PSD not a full website.

in order to accept the invite I will need some info about how many pages do you need, what pages do you need (home, about us, contacts, services..), It will be a good idea to give me several websites of your rival companies, and also several websites you like as design. Do you have prefered colours, what is the Name of the company in order to create a logo.

Just Home and About Us would be fine.

Colors should be professional, not bright and in your face. Its for a template design, so the name of the company does not matter. You can use Clement & Assoc. if you want though.

No real good competitor sites out there, just use your instincts.
